You Have A Salary Number.
Nothing In Your File Says Why.
This Does.
Ask most S-Corp owners how they arrived at their salary and the honest answer is a wage printout, a competitor's calculator, or last year's figure carried forward. That is a number with nothing standing behind it.
The Mello RC Elite Memo™ is what stands behind it. A written narrative on each of the nine factors the IRS publishes, applied to your own facts. A sourced statement of facts where every figure says where it came from. The derivation of your figure shown step by step, the authorities that control in your own federal circuit with every one verified against a commercial citator, an honest account of where the position is strong and where it is not, and a signed Enrolled Agent opinion. It arrives with the documents your corporate record should have beside it.
Big 4 firms charge $3,500 and up for work at this depth. Standard tax firms charge $1,500 and up.
Three packages. Three memoranda.
Every package files your election and every package now ships a written reasonable compensation memorandum, prepared and signed by a licensed Enrolled Agent. What changes between them is how much of the reasoning is written down for someone else to check: 7 pages, 12 to 13 pages, or 26.
Basic
The entry package carries a full signed memorandum. The price has not moved.
Complete and fully sourced on its own. Standard is the same determination taken further.
- Federal S corporation election prepared and filed
- Single state filing
- Form 2553 prepared and reviewed by a licensed Enrolled Agent
- Fax ready packet with cover sheet
- A 7 page Reasonable Compensation Memorandum, signed and dated by a named Enrolled Agent
- A recommended annual salary for the work you personally perform, with the reasoning written out
- Benchmarked to published Bureau of Labor Statistics wage data, with the release used and its publication date printed in the document
- What to do next: how to set the payroll, what to sign, what order to pay things in and what to keep
- Every fact carries its source, and anything we were not told is printed as not obtained
- Email confirmation tracking
Standard
The memorandum most owners should be holding
Basic tells you the number and shows you where it came from. Standard proves it on your own facts and tells you what it costs to run.
- Everything in Basic, and your memorandum grows to 12 to 13 pages
- State S corporation election filing
- The nine factor reasonable compensation analysis, run on the facts we collect from you, factor by factor, each one carrying a plain statement of what your file holds and what weight that carries
- The employment tax consequence of the recommended figure, measured against what your corporation is paying you right now, in whichever direction it runs, with what is left to distribute in a table that adds up
- Your figure drawn on the published wage range for your occupation in your own state, so you can see where it sits between the percentiles and why
- A time and effort section built only from what you told us, including the part of the week that is ownership rather than work
- The section 199A classification of your business, with the published threshold figures for the year
- The retirement plan contribution limits for the year and what the recommended salary actually supports
- An authorities list, so a reader can see what the memorandum stands on
- Late election relief (Rev. Proc. 2013-30)
- CP261 acceptance monitoring
Premium
Full S-Corp setup including the 26 page Mello RC Elite Memo™, the 1120-S return and an advisory consultation. Complex cases scoped on the call.
Standard is the analysis. Elite is the analysis with a signed opinion behind it and the full documentation package.
- Everything in Standard, and your memorandum grows to 26 pages
- The Mello RC Elite Memo™ included (a $497 standalone product)
- A written narrative on every factor, applied to your own facts rather than stated as a conclusion
- An authority table, with every case checked against a commercial citator and the date of that check printed on the page
- An independent investor analysis
- The contemporaneous documentation package for your corporate record: compensation resolution, written job description, time allocation record and distribution log
- Limitations and assumptions stated in full, in writing
- A signed Enrolled Agent opinion under Circular 230
- 1120-S return preparation
- Advisory consultation (60 min)
- Payroll setup coordination (Gusto/ADP)
- Annual review reminder and compliance check ins
- Priority EA review
Published wage data. Nothing else.
Every wage figure in your memorandum comes from one place: the Bureau of Labor Statistics Occupational Employment and Wage Statistics program, May 2025 estimates, published under news release USDL-26-0725. That includes the published percentiles for your occupation in your own state. No private salary product, no subscription survey, no number we modelled ourselves.
Where the Bureau does not publish a figure for your state, the memorandum uses the published national figure and says so on its face. You can open the same table we did and see the same number.
Every fact says where it came from.
Each fact in the document carries its source, and a fact we did not collect is printed as not obtained rather than quietly assumed. That discipline is unusual, and it is the whole reason the document holds up. A reader can test every line, and when the memorandum does make a claim, there is a source sitting next to it.
A document that is precise about what it knows is the one that gets believed on everything else it says.

Every election is prepared and signed by a licensed Enrolled Agent, admitted to practice before the IRS and working under Circular 230.
Your Form 2553 and your reasonable compensation work are prepared and signed by a credentialed professional, not generated by software and left for you to defend. You will see the preparer named and signed on the documents themselves. If your numbers do not support an election yet, we will tell you that instead of selling you one.
Mello RC Elite Memo™ (Standalone)
The full 26 page memorandum on its own, without the election filing. A written narrative on every factor applied to your own facts, an authority table with every case checked against a commercial citator and the date of that check printed on the page, an independent investor analysis, limitations and assumptions stated in full, and a signed Enrolled Agent opinion. Delivered by a licensed EA in 5 business days with the contemporaneous documentation your corporate record should have alongside it.
The Mello RC Elite Memo™
Anyone can file a Form 2553. The question that comes later is how you arrived at your salary. Most owners have a number and nothing that explains it, and a number on its own explains nothing.
Basic gives you 7 pages. Standard gives you 12 to 13. Premium gives you 26, and those 26 pages are written the way a professional writes for another professional to read. Someone picking it up cold can follow the reasoning, check every source, and see that the salary was decided in writing before it was paid.
- A written narrative on every factor, applied to your own facts
- An authority table, every case checked against a commercial citator, with the date of that check on the page
- An independent investor analysis and the contemporaneous documentation your corporate record should have
- Limitations and assumptions stated in full, under a signed Enrolled Agent opinion

You can still elect for this year
The normal S-Corp election deadline is March 15, but if you missed it the IRS provides automatic late-election relief under Rev. Proc. 2013-30. We file it for you with a proper reasonable cause statement, retroactive to January 1. Every month of waiting is money the IRS keeps, so lock your savings now.

“The reasonable comp memo is what sold me. Real published BLS data, my occupation, my state, written up properly. My old accountant gave me a number on a sticky note. This I can hand to an auditor.”
“I missed the March 15 window two years running. The late-election relief packet was drafted, signed, and faxed in under 72 hours. The CP261 came back six weeks later.”
“Three shareholders, two states, a side LLC. I assumed I would get told to come back when things were simpler. Instead the Standard tier handled everything in one engagement.”
“Premium tier paid for itself on the 60-minute advisory call alone. We mapped a clean refile plan, dodged a $4K New York penalty, and ended up with a memo my bank actually reads.”
“Two prior CPAs told me my structure was too messy to elect S-Corp status. Mello ran a multi-year projection in front of me on the call and filed the election the same week.”
