1. Services

Mello Tax Group, LLC prepares and files IRS Form 2553 (S-corporation election), related state elections, late-filing relief statements, supporting reasonable-compensation documentation, and (where contracted separately) 1099 information returns. Any other tax matter, including but not limited to entity formation, ongoing CPA advisory, audit representation, multistate consulting, or full-return preparation, is outside the default scope and must be engaged in writing.

2. Eligibility

You must be at least 18 years old, a United States person (citizen, resident alien, or US-formed entity) filing US federal taxes, and the legally authorized representative of the entity for which you engage us. By using our services, you represent and warrant that these statements are true.

3. Engagement scope and no tax advice without engagement

Information on this website, in our intake flow, in calculators, and in informational emails is provided for general information only and is NOT tax, legal, accounting, or investment advice. No client relationship is formed until both parties execute a written engagement letter. Until then, we are not your CPA, attorney, or fiduciary, and you should not rely on anything you read here in lieu of professional advice tailored to your situation.

Per Treasury Department Circular 230, we cannot provide written tax advice intended or used by you to avoid penalties unless and until we are formally engaged for that advice.

4. Fees and payment

Fees are stated on the relevant order page or engagement letter. Payment is due in full at the time of engagement unless otherwise agreed in writing. Payments are processed by Stripe. Failure to pay may result in suspension of services and, where applicable, withdrawal of unfiled documents.

5. Cancellation and refunds

You may cancel an engagement before we begin preparation work for a full refund. Once preparation work has started, fees are non-refundable except where we have not yet filed the document with the IRS, in which case a partial refund at our discretion may apply. Refunds are processed to the original payment method within 10 business days of approval.

6. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the services, the website, or these Terms is limited to the fees you actually paid to us for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or lost tax savings, even if advised of the possibility.

7. Indemnification

You agree to indemnify and hold harmless Mello Tax Group, LLC, its owners, employees, and contractors from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) information you provided that was inaccurate, incomplete, or misleading, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

8. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. The federal and state courts located in California shall have exclusive jurisdiction for any matters not subject to arbitration under Section 9.

9. Arbitration

Any dispute arising out of or relating to these Terms or our services that is not resolved through good-faith negotiation within 30 days shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, in San Francisco, California, in English. The arbitrator's award shall be final and may be entered in any court of competent jurisdiction. You and we each waive any right to a jury trial and to participate in any class action.

10. Changes to these Terms

We may revise these Terms from time to time. The revised Terms become effective when posted with an updated "Last updated" date. Continued use of the site or services after that date constitutes acceptance.
